Two groups of investors want to buy Fibra Inn titles

Fiber Innan investment trust in hotel sector real estatereported that two groups of investors are interested in buying a relevant number of real estate trust stock certificates (CBFI) with which they would become preponderant owners of the firm.

After the news was released, the CBFIs of Fiber Inn rose 14.2% to 5.95 pesos on the Mexican Stock Exchange (BMV).

In a statement, the company announced that the first group represented by the firms Origin Patrimonial and Factoring Azteca intends to acquire up to 30% of the titles of Fiber Inn.

Meanwhile, the second, made up of Comercial Hotelera Mexicana de Occidente, Hotel Financing Found and Ernesto Fernando Echavarría Salazar, seeks to obtain between 40 and 49% of the real estate trust.

“Regarding the intention of negotiating the securities of the issuer by two groups of investors interested in the acquisition of securities of Fibra Inn (in case of acquiring them) they would have a significant influence and would modify its capital structure”, quoted the fibra in the statement.

Fiber Inn indicated that the group of interested investors made up of Laura Renee Diez Barroso Azcárraga, José Carlos Laviada Ocejo and Diego Andrés Cisneros Salas, requested the technical committee to acquire CBFIs from the investing public and from the founders’ trust or a combination of both.

The other group interested in buying the share capital of Fiber Inn It is made up of Gabriel Ruiz Huerta, María Lorenza Cuzin Javelly, Ibela García Jasso Cuzin, Fabián García Jasso Cuzin, Rosa Luz Gómez Morales, Daniela Ruiz Morales and Gabriela Ruiz Morales.

They plan to buy the shares through a forced takeover bid, in terms of the Securities Market Law.

The two requests were approved by the technical committee of Fiber Inn in session on December 15.

“If the investors of Origin Patrimonial and Factoring Azteca execute the purchase partially or totally through the ownership of the founding trust, they will acquire rights as designation of proprietary members of the committee, including the president; appoint members of the investor committee; and possible exclusion of the authorized procedure for transactions with more than 10% of the company’s titles”, the notice reads.
